## What does tokenization legal work need to resolve?

For asset owners, founders, fund sponsors and platforms planning an RWA tokenization project in or from the UAE.

Tokenization works only when the on-chain token matches enforceable off-chain rights. The legal work maps the asset, its owner, the issuer, investor rights, platform activities, custody, transfers and target markets before launch. It then identifies which UAE regulatory questions and specialist workstreams must be resolved instead of assuming every project follows one VASP route. The output is a scoped structure and implementation plan that legal, product and technical teams can use together.

What it can cover

- Asset, ownership and rights map
- Regulatory perimeter and route comparison
- Issuer, platform and service-provider roles
- Token and product-flow review
- Investor, offering and platform documents
- Decision record and implementation plan

[Check if this fits](https://ape.law/services/rwa-tokenization-legal-strategy#service-fit)

01 · Check the fit

## When this service fits

### You own an asset or portfolio

You need to decide what the token represents, who continues to own the asset and which enforceable rights a buyer receives.

### You are building a tokenization platform

Issuance, arranging, administration, custody, transfers and secondary trading need to be separated before a licensing route is chosen.

### You are tokenizing an investment interest

A fund, debt, equity or revenue-linked model needs its underlying investor rights analysed before the token mechanics are finalised.

### The build is ahead of the structure

Your smart contracts, product flows, investor materials and legal documents need to describe the same arrangement before money is raised or tokens are offered.

02 · What we can help with

## What the work covers

### Asset, ownership and rights map

Document the underlying asset, current owner, proposed issuer, contractual relationships and the rights a token holder is intended to receive.

### Regulatory perimeter and route comparison

Separate each proposed activity and compare the UAE frameworks, permissions and specialist advice that may apply to the actual model.

### Issuer, platform and service-provider roles

Allocate responsibility across the asset owner, issuer, platform operator, arranger, custodian, administrator and distribution partners.

### Token and product-flow review

Connect minting, transfers, redemption, fees, governance, custody and smart-contract controls to the legal rights and operating model.

### Investor, offering and platform documents

Identify the terms, disclosures, agreements, policies and customer journeys needed for the proposed investors, markets and distribution route.

### Decision record and implementation plan

Set out the assumptions, unresolved questions, required advisers, document sequence and decisions to complete before development, offering or launch.

03 · Compare the routes

## Which UAE regulatory route may apply?

Tokenization does not identify the regulator by itself. The answer depends on the legal nature of the asset and token, the activities performed, the location of those activities and the investors or customers involved. These official sources are starting points, not a substitute for analysing the complete model.

### Dubai outside the DIFC · VARA

If the model involves issuing a virtual asset or providing a virtual-asset service in or from Dubai outside the DIFC, the issuance and platform activities must be mapped against VARA's perimeter.

[Review VARA licensed activities](https://www.vara.ae/en/licenses-and-register/licensed-activities/)

### DIFC · DFSA

A model involving Crypto Tokens and financial services in or from the DIFC must be assessed under the DFSA framework and the relevant financial-services permissions.

[Review the DFSA Crypto Token framework](https://www.dfsa.ae/crypto)

### ADGM · FSRA

Tokenized investments, virtual assets and the services performed in ADGM need to be considered against the FSRA framework and the nature of the underlying instrument.

[Review the ADGM virtual-asset guidance](https://www.adgm.com/documents/legal-framework/guidance-and-policy/fsra/guidance-virtual-asset-activities-in-adgm-20231218.pdf)

### The underlying asset still matters

Property, fund interests, shares, debt, commodities and contractual claims can engage different ownership, offering, custody, valuation, tax and enforcement questions alongside digital-asset rules.

05 · How to get started

## What to bring

Start with what you have. These details help frame the first discussion.

Send the basics

- The asset details, evidence of ownership and any existing holding structure
- The proposed token holder rights, target investors and target jurisdictions
- A diagram of the issuer, platform, custody, payment, transfer and redemption flows
- Draft tokenomics, smart-contract specifications, whitepaper, terms or investor materials
- Any regulator, exchange, bank, custodian or technology-provider correspondence

Then define the scope

### Focus the first conversation on the decision you need to make.

Tokenization does not establish a licensing route by itself. The legal assessment must cover the rights, activities and jurisdictions in the actual model. Property, tax, valuation, foreign-law and smart-contract security work may require separate specialists.

07 · Common questions

## Common questions

Should the token or the legal structure come first?

The starting point is what the buyer receives and who is responsible for it. The token design can then be checked against those rights.

Does every UAE tokenization project need a VASP licence?

There is no universal answer. The assessment depends on the token's legal nature, each activity performed, where it is performed and the intended investors or customers. Issuing an asset and operating a platform also need to be analysed separately.

Can I tokenize an asset without operating a platform?

Potentially. An asset owner may use third-party providers for issuance, distribution, custody or trading, but its own role, the token holder's rights and every provider's responsibilities still need to be documented and assessed.

Does this cover tokenized real estate?

The scope can cover property-backed models, including the asset owner, issuer and investor rights. Property and jurisdiction-specific advice must be identified separately.

What if the token represents a fund interest?

The tokenized-fund service looks more closely at fund, manager and investor arrangements. It may be the better starting point for that model.

What documents might an RWA tokenization project need?

The list depends on the structure and stage. It may include ownership and issuer documents, token or offering terms, disclosures, platform terms, custody and service-provider agreements, compliance materials and a record of the regulatory analysis.

Does Ape Law review both the legal structure and token mechanics?

The scope can connect legal rights and documents to product flows, token functions and smart-contract assumptions. Legal advice is led by the legal team; technical strategy supports fact-finding and does not replace an independent code or security audit.

## What will the token holder actually own or be owed?

Start with the asset, its current owner, the intended buyers, the rights you want to offer and what the platform will do.
