# How Should You Tokenize Real Estate Under VARA?

Real-estate tokenization does not begin with minting. It begins with the property title, the asset-holding structure and the legal right a token holder will receive. VARA analysis then sits alongside property, offering, financial-services and other applicable rules.

## What Is Being Tokenized?

Distinguish among:

- direct title to real property;
- shares or units in an asset-holding vehicle;
- debt secured against property;
- a contractual participation in income or sale proceeds;
- access or use rights; and
- a token with no direct proprietary claim.

These structures do not create the same holder rights, transfer method, risk or regulatory analysis. The marketing should describe the legal structure accurately.

## Which Roles Need to Be Mapped?

Identify the property owner, SPV or fund, issuer, developer, manager, platform, broker, custodian, registrar, valuer, bank, payment provider and technology vendors. Record who controls the property, token, cash and investor register at each step.

A project issuing an interest in its own asset is different from a platform arranging or operating tokenized offerings for third parties. Platform roles can add licensing questions beyond issuance.

## Which VARA Questions Matter?

Review whether the proposed token and services engage the Virtual Asset Issuance Rulebook, including the relevant asset-referenced provisions, and whether any party performs a regulated VA Activity under the [VARA activity schedule](https://rulebooks.vara.ae/rulebook/schedule-1-va-activities).

Do not assume every property token has one automatic classification. The legal rights, stabilisation or reference mechanism, distribution and operating roles matter. Exact reporting, reserve, audit or legal-opinion obligations must be tied to the applicable rule rather than copied from a generic checklist.

## What Property-Law Work Remains?

The token does not replace the legally recognised property register. Confirm:

- registered ownership and encumbrances;
- restrictions on transfer or foreign ownership;
- leases, management and development arrangements;
- valuation and insurance;
- how income and sale proceeds reach holders;
- insolvency and enforcement consequences; and
- whether token transfers change any legally recognised interest.

## What Should the Investor Documents Explain?

Explain the right acquired, responsible entity, fees, valuation, distributions, transfer restrictions, custody, conflicts, liquidity limits, technology risks, defaults and remedies. Reconcile the offering document, token terms, constitutional documents, smart contract and website.

Avoid claims of guaranteed liquidity, title, returns or regulator approval. A permission or review cannot guarantee the commercial performance of the property or token.

## What Is the Practical Launch Sequence?

1. Verify property title and constraints.
2. Select the asset-holding and issuer structure.
3. Define token-holder rights and the authoritative register.
4. Map issuance, platform and service-provider activities.
5. Confirm the VARA and other regulatory workstreams.
6. Design investor eligibility, AML/CFT, custody and transfer controls.
7. Draft and reconcile the legal, operational and technical documents.
8. Test distributions, a transfer, a default and a wind-down.
