Use an ADGM SPV for a defined passive holding role—not as a substitute for operating permissions, token-offer analysis or group-level due diligence.

An ADGM special purpose vehicle is a passive holding company. It can ring-fence identified assets and liabilities, but it is not a virtual-asset or financial-services licence and cannot be used as the operating answer to every Web3 structure.

This guide focuses on the ADGM vehicle itself. For a group-wide evidence review, see [why Web3 holding structures fail investor due diligence](https://ape.law/blog/web3-holding-structure-due-diligence-failures). The ADGM points below were checked against its [SPV information](https://www.adgm.com/business-areas/special-purpose-vehicles) and [CSP exemption guidance](https://www.adgm.com/operating-in-adgm/company-service-providers/exempt-spvs-and-foundations) on 23 September 2026.

## What Can an ADGM SPV Do?

An SPV may be considered to hold shares, intellectual property, contractual rights or other assets; isolate a transaction; sit between investors and an operating company; or perform a defined issuer or asset-holding role.

ADGM states that its SPVs are non-operational and cannot be used to conduct operational business or hire staff. The intended role should therefore be narrow and documented.

## What Does an SPV Not Solve?

An SPV does not by itself:

- authorise a regulated financial or virtual-asset activity;
- determine whether a token offer is lawful;
- prove title to the underlying asset;
- replace an operating company, manager or service provider;
- create substance where decisions occur elsewhere;
- resolve tax treatment; or
- protect a group from poor governance or undocumented transfers.

Each operating, offering and tax question needs its own analysis.

## Where Do Structures Fail Due Diligence?

Common failures include:

- the SPV does not own the IP, tokens, shares or accounts shown in the diagram;
- founder or contractor assignments were never completed;
- the token documents promise rights the SPV cannot deliver;
- wallet signers do not match board or contractual authority;
- intercompany services and cash flows are undocumented;
- the entity is treated as passive publicly but operates in practice; and
- the structure cannot explain insolvency, enforcement or wind-down.

The cure is not a more attractive diagram. It is evidence: registers, assignments, contracts, resolutions, wallet-control records and reconciled accounts.

## Does the SPV Need a Company Service Provider?

ADGM’s CSP framework generally requires non-exempt SPVs to appoint an ADGM-based company service provider. Exemption depends on the applicable criteria and the Registrar’s assessment. Confirm the current position before relying on an exemption.

## Can an SPV Issue a Token?

Possibly, but incorporation does not answer whether the issuance, offer or connected services require approval. Define the token rights, investors, distribution, underlying asset and platform roles. Then assess the relevant ADGM/FSRA and cross-border rules.

## What Should You Prepare?

1. a group and ownership chart;
2. the exact assets and liabilities allocated to the SPV;
3. legal title and assignment evidence;
4. constitutional and governance documents;
5. wallet, bank and signing authority;
6. intercompany and service-provider agreements;
7. offer and regulatory analysis where tokens are involved; and
8. tax, accounting and substance advice.

For the regulatory route, see the [ADGM licence-category guide](https://ape.law/blog/adgm-license-categories). For tokenized assets, start with the [RWA guide](https://ape.law/blog/rwa-tokenization).
