# Which ADGM Rules Apply to Your Tokenized Security?

Tokenizing a security changes how the instrument is issued, recorded or transferred; it does not remove the legal characteristics of the underlying investment. The analysis starts with the rights and obligations represented by the token and the activities performed around it.

This guide consolidates Ape Law's earlier ADGM token-issuance and disclosure articles. ## What Is the Instrument?

Record whether the token represents a share, debenture, fund unit, derivative, contractual claim or another right. Identify the issuer, obligor, governing law and source-of-truth register.

Classification should not rely on labels such as “utility,” “RWA” or “security token.” The legal rights, purpose and economic effect control the analysis.

## Which Activities Surround the Token?

Separate the roles of:

- issuer and offeror;
- adviser and arranger;
- dealer, broker and venue;
- fund manager or asset manager;
- custodian and wallet provider;
- registrar or transfer agent; and
- technology and settlement providers.

Each role can raise a different permission, conduct and disclosure question. The issuer's compliance does not automatically cover a separate platform.

## What Should the Disclosure Explain?

A decision-useful disclosure pack should cover:

1. the holder's legal rights and responsible parties;
2. the underlying asset, project or business;
3. use of proceeds and material milestones;
4. governance, voting, distributions and conflicts;
5. the DLT, wallets, keys and cyber risks;
6. custody, settlement and the authoritative ownership record;
7. transfer, investor and jurisdiction restrictions;
8. liquidity limits and venue arrangements;
9. defaults, enforcement, insolvency and wind-down; and
10. material fees, valuation and service-provider dependencies.

The technical document, constitutional records and investor-facing terms should describe the same rights and controls.

## Which Offer and Investor Questions Matter?

Identify whether the offer is public or restricted, the investor categories, minimum commitments, marketing locations and any exemptions relied upon. An exemption should be documented with its conditions and evidence; it is not a generic shortcut.

Cross-border distribution requires local advice in the target markets. ADGM treatment does not authorise an offer everywhere else.

## What Must Work After Issuance?

Plan corporate actions, distributions, voting, reconciliations, transfer restrictions, custody, complaints, incident response and ongoing reporting. Assign a named owner to each obligation and show how on-chain events trigger off-chain legal and operational steps.

## What Is the Pre-Filing Checklist?

- approved classification memorandum;
- issuer and group structure;
- activity and permission map;
- offer and investor perimeter;
- source-backed disclosure draft;
- token, custody and register design;
- governance and conflict controls;
- legal opinions required for material rights; and
- review of every jurisdiction in which the token will be offered or serviced.
